Vender Policy

Thank you for choosing to become a vendor on DigitalHalal.co (“DH.co”, “we”, “us”, or “our”). This Vendor Policy outlines the terms, conditions, and expectations for vendors who wish to list and sell their products on our platform. By registering as a vendor, you agree to comply with these terms and all other relevant policies.

1. Vendor Registration

To become a vendor on DH.co, you must:

  • Complete the online registration process.
  • Provide accurate and up-to-date business information.
  • Submit required documentation, including proof of halal certification and any necessary regulatory certifications, to ensure the products meet the required legal standards.

We reserve the right to approve or reject any vendor applications at our discretion.

2. Product Listings and Responsibility

Vendors are responsible for:

  • Accurate Product Descriptions: All product listings must be truthful, clear, and not misleading. This includes product names, descriptions, prices, and any other relevant information.
  • Halal Certification: Products listed as halal must be certified by an accredited halal certification body. Vendors must provide proof of certification.
  • Pricing: Vendors must set their own prices, but they must comply with all applicable laws, including anti-price gouging laws and fair trade practices.
  • Compliance with Laws: Vendors must ensure that their products comply with all applicable laws, including FDA regulations, food safety standards, and labeling requirements.
  • Product Availability: Vendors must maintain accurate stock levels. If an item is out of stock, it must be removed from the marketplace or marked as unavailable.

DH.co is not responsible for the quality, safety, or legality of any products listed by vendors.

3. Payments and Fees

  • Payment Processing: Payments for orders placed on DH.co will be processed by DH.co through third-party payment gateways. Payments to vendors will be disbursed on a regular schedule, as defined in your vendor agreement.

  • Vendor Fees: DH.co charges a commission fee on each sale, which will be deducted before payments are disbursed to the vendor. The commission rate will be clearly communicated and is subject to change at our discretion.

  • Tax Obligations: Vendors are responsible for understanding and complying with all sales tax laws in the applicable jurisdictions. DH.co may collect and remit sales tax on behalf of vendors as required by marketplace facilitator laws, but vendors must ensure that they are compliant with tax laws in their operating states.

4. Shipping and Delivery

Vendors are responsible for:

  • Shipping: Vendors must fulfill and ship orders within the agreed time frame. You are responsible for ensuring that your shipping methods and practices are compliant with applicable laws, including food safety laws for perishable items.

  • Shipping Fees: Vendors are responsible for setting and communicating shipping fees, which must be disclosed to customers before checkout.

  • Delivery Timeliness: Vendors must ensure that products are delivered in a timely manner. If delivery is delayed, vendors must notify customers promptly.

Any shipping-related issues, including lost, damaged, or delayed shipments, are the vendor’s responsibility.

5. Returns, Refunds, and Customer Service

  • Return Policy: Vendors are responsible for establishing their own return and refund policies in accordance with DH.co’s overarching policies. Products may only be returned in accordance with these policies and applicable laws.

  • Customer Service: Vendors must handle customer inquiries, complaints, and disputes promptly and professionally. If a vendor fails to resolve a customer issue, DH.co may intervene to assist the customer in finding a solution.

  • Refunds: If a product is returned or a transaction is refunded, vendors are responsible for processing the refund according to DH.co’s policies. DH.co may assist with refunds through third-party payment processors.

6. Vendor Conduct and Prohibited Activities

Vendors are prohibited from:

  • Misleading Claims: Making false or misleading claims about products, including but not limited to halal certification, product origin, or nutritional information.

  • Unauthorized Reselling: Selling products that you do not have permission to sell, including counterfeit goods or products that infringe on the intellectual property rights of others.

  • Harmful Products: Listing products that pose a risk to public safety, health, or wellbeing, including products that are banned or illegal.

  • Harassment or Abuse: Engaging in abusive or discriminatory behavior toward DH.co staff, customers, or other vendors.

DH.co reserves the right to suspend or terminate any vendor account that engages in any of the above activities.

7. Vendor Accountability and Indemnity

Vendors agree to:

  • Indemnify DH.co: Vendors agree to indemnify, defend, and hold harmless DH.co from any claims, damages, losses, or expenses arising from product defects, misrepresentations, or violations of any laws, including food safety laws, intellectual property rights, and consumer protection laws.

  • Compliance: Vendors must comply with all applicable laws and regulations in connection with the products they sell on DH.co, including those related to food safety, labeling, advertising, and halal certification.

8. Termination and Suspension

DH.co reserves the right to:

  • Suspend or Terminate Accounts: We may suspend or terminate a vendor account for any reason, including failure to comply with these policies, non-payment of fees, or engagement in illegal activities.

  • Remove Listings: We reserve the right to remove any product listing that violates these Terms or applicable laws, or if it poses a risk to public safety or the integrity of the DH.co platform.

If DH.co suspends or terminates your account, you will not be entitled to any compensation or refund for commissions or fees.

9. Amendments to the Vendor Policy

DH.co reserves the right to modify or update this Vendor Policy at any time. We will notify vendors of significant changes by email or through notifications on the platform. Continued use of DH.co after any such changes constitutes acceptance of the updated policy.

10. Dispute Resolution

Any disputes arising from these Vendor Terms will be resolved through informal negotiations. If the dispute cannot be resolved informally, it will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA).

The location of any such arbitration will be Illinois.

11. Governing Law

This Vendor Policy will be governed by and construed in accordance with the laws of the United States and the State of Illinois, without regard to its conflict of laws principles.
